  1. Terms and Conditions
    These terms (the “Terms”) apply to your use of the ANOMILY MOTION PICTURES desktop portal (“Portal”). Please read these terms carefully and ensure that you understand them before you use the Portal. By downloading, accessing and/or using the Portal, you confirm that you have read, understood and accepted these Terms and that you agree to abide by them and any changes made to them from time to time. You acknowledge that the Terms constitute a legally binding contract between us and you (and, if relevant, any organization on whose behalf you are acting). If you are acting on behalf of any organization, you confirm that you have the requisite authority, power and right to fully bind that organization. You also agree that you shall not use the Portal in any manner not expressly permitted by these Terms or which is deemed unlawful or fraudulent. If you (or, if relevant, your organization) do not agree to the Terms (or if you do not have the right to bind your organization), you must not download, access or use the Portal.

  3. The Portal is owned and operated by, or on behalf of, ANOMILY MOTION PICTURES Music Group Limited ("we" or "us" or “ANOMILY MOTION PICTURES”). We are registered in England and Wales under company number 04018752 and our registered office is at 4 Valentine Place, London SE1 8QH. Our VAT registration number is GB774150334.

  5. For security reasons, access to your Portal will be strictly controlled by the use of a username/password combination, which ANOMILY MOTION PICTURES will issue to you by email. This username/password combination may be changed by ANOMILY MOTION PICTURES from time to time. As your password protects your account on the Portal, you should use a strong and unique password.

  6. You must not misuse the Portal by knowingly introducing viruses, or other damaging content which is malicious or technologically harmful. You must not attempt to gain unauthorized access to the Portal, the server on which the Portal is stored or any server computer or database connected to the Portal.

  7. You must not leave the electronic device from which you have accessed your Portal unattended whilst you are logged on, or allow anyone else to access your Portal using your username or password. On-line access will be subject to automatic time outs after a period of inactivity as determined by us. We may refuse to allow you or the representatives you have authorized access to your Portal if we reasonably suspect that an unauthorized person is attempting to log in to access it, or incorrect details are used in attempting to log in.

  8. If you become aware (or have reason to suspect) that your username/password combination is no longer secure, or that a third party may have access to it, you will inform ANOMILY MOTION PICTURES immediately. If you wish to revoke access to any of your authorized representatives then you must inform us immediately and we will issue you with a new username/password combination.

  9. You must, at all times, keep your username/password combination safe and secure and not disclose it to any third party (other than your authorized employees or professional advisers). You shall be responsible for any failure to do so and ANOMILY MOTION PICTURES shall not be liable to you in any way in the event that a third party gains access to your Portal through the use of your username/password combination. As there are certain security, corruption, transmission error and access availability risks associated with using open networks such as the Internet, you hereby expressly assume such risks. Provided we have used reasonable levels of security and encryption we shall have no liability to you in respect of any unauthorized access to your Portal.

  10. You acknowledge that we may create links from your Portal to sites on the internet, e.g. YouTube, that are displaying content which incorporates songs in your catalogue and that we are not in any way responsible for such content. We make no warranties or representations whatsoever about any other website which you may access through the Portal or any services that they may provide. Without limiting the foregoing, these sites are in no way approved, vetted, checked or endorsed by us and you agree that we shall not be responsible or in any way liable for the content, accuracy, compliance with relevant laws or accessibility of any information, data, advice or statements or for the quality of any products or services available on such sites. If you choose to access a website beyond our control, you do so at your own risk. In addition, use of any such third party website or microsite may be subject to your acceptance of additional terms and conditions.

You acknowledge that we may rely on any instructions or actions taken on your Portal (including, updating catalogue information, adding new songs, approving adaptation requests, uploading audio or taking online advances) which are issued/taken by you or appear to be issued/taken by your authorized representatives as notified to us, or, where no representatives are notified, by any of your employees or agents. We shall be entitled to rely on any information you or your authorized representatives upload onto your Portal as though it is provided under your Administration Agreement and all warranties contained in that Agreement shall apply to such information.

  12. We aim to update the Portal regularly, and may change the content at any time. If the need arises, we may suspend access to the Portal, or close it indefinitely, without notice. In addition, we do not warrant that the functions or materials on, or access from, the Portal shall be uninterrupted or free from errors.

  13. The Portal and the content and data provided through it (including all software applications) are the sole property of ANOMILY MOTION PICTURES (or entities that have licensed rights to ANOMILY MOTION PICTURES) and we grant to you a limited, non-exclusive, revocable license to make personal, non-commercial use, or, if you are a business user, for the internal business purposes of your organization, of the Portal on your device and to receive the content made available through the Portal on your device. We may assign these Terms or any part thereof without restrictions. You may not assign these Terms or any part thereof, not transfer or sub-license your rights under these Terms to any third party.

  14. Except as set out in these Terms, you are not allowed to: (i) republish, redistribute or re-transmit the Portal; (ii) copy or store the Portal (including any of its content or data) other than for your use as permitted by these Terms and as may occur incidentally in the normal course of use of your browser or mobile device; (iii) create a database by systematically downloading and storing any content or data from the Portal; (iv) remove or change any content or date in the Portal or attempt to circumvent security or interfere with the proper working of the Portal or any servers on which it is hosted; and (v) otherwise do anything that it is not expressly permitted by these Terms.

  15. Whilst ANOMILY MOTION PICTURES takes reasonable data precautions and care to ensure that the Portal is free of computer viruses, we do not guarantee that the use of the Portal will not cause damage to your device nor do we guarantee the security of user information on your device at any time. Accordingly, the Portal is provided to you “As Is”, without express or implied warranty or condition of any kind. Your use of the Portal is at your own risk and we disclaim any warranties or conditions of merchantability, fitness for a particular purpose of non-infringement. By agreeing to these Terms, you agree that you are solely responsible for ensuring that you have suitable equipment, security and virus protection in place on your device before using the Portal.

  16. We cannot and do not guarantee the continuous, uninterrupted or error-free operability of the Portal or that the Portal will respond at a certain speed. You agree that downloading, accessing and use of the Portal is on an 'as is' and 'as available' basis and at your sole risk.

  17. Information made available through the Portal is not intended to amount to authority or advice on which reliance should be placed. You should check with us or the relevant information source before acting on any such information.

  18. Except as expressly set out in these Terms, we make or give no representation or warranty as to the accuracy, completeness, currency, correctness, reliability, integrity, quality, fitness for purpose or originality of any content or data in the Portal and, to the fullest extent permitted by law, all implied warranties, conditions or other terms of any kind are hereby excluded. To the fullest extent permitted by law, we accept no liability for any loss or damage of any kind incurred as a result of you or anyone else relying on the content or data in the Portal.

  19. To the fullest extent permitted at law, ANOMILY MOTION PICTURES (including its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers or licensors) shall not be liable for any (i) economic loss or damage (including loss of profit, revenue, business, contract, goodwill, or other financial loss); or (ii) any special, indirect or consequential loss or damage however caused arising out of or in connection with the use of the Portal. We do not exclude or restrict our liability for death or personal injury resulting from our negligence or that of our agents. Or for fraudulent misrepresentation made by us to you, in relation to the Portal. In addition, nothing in these terms shall exclude, restrict or limit any other liability that may not be limited or excluded by law.

  20. Unless required by a mandatory law of any other jurisdiction, this Agreement is subject to the laws of England and the English courts shall have exclusive jurisdiction to resolve any dispute or claim that arises out of this Agreement.

  21. Privacy Policy
    This privacy policy (the “privacy policy”) applies to your use of the Portal. Please read this privacy policy carefully and in conjunction with our terms and conditions of use and ensure that you understand them before you start to use the Portal. By accessing and using the Portal, you confirm that you have read, understood, and accept the privacy policy and any changes made to the privacy policy from time to time. If you do not agree to this privacy policy, you must not use the Portal.

When you access the Portal, we may collect information we ask you for, like your username, passwords, details of your visits to the Portal and the resources that you access, and information you supply if you report a problem with the website to us. If you contact us, we may keep a record of that correspondence. We may use any contact details you give us to respond to or otherwise contact you. We will only use any such information in accordance with the terms of this privacy policy.

  23. By submitting your personal information, you consent to the collection, use and transfer of your information in accordance with the terms of this privacy policy.

  24. Certain personal information that you provide to us is defined as personal data by the Data Protection Act 1998. We do not seek any personal data other than that which is reasonable and necessary for the purposes sought.

  25. We may display advertisements from third parties and other content which links to third party websites. We cannot control or be held responsible for third parties’ privacy practices and content. Please read their privacy policies to find out how they collect and process your personal information.

  26. We may use your information to contact you when you have requested us to do so, to produce anonymous reports, statistics and analysis of the types of users who access the Portal, to contact you for your opinions on the Portal and notify you about important changes to the Portal and to administer and improve the Portal.

  27. We will retain your information for a reasonable period as required or as long as the law permits.

  28. We store the information you supply to us in a safe and proper manner in order to prevent unauthorised access, accidental loss, destruction, damage or unlawful processing.

  29. By providing us with your information you are giving us your explicit consent to collect, process, disclose, transfer or store your personal data to (i) to any third party to whom disclosure is necessary to enable us to provide you with any services which you have requested including but not limited to data processors such as web hosting companies and email marketing service companies; (ii) where required to do so by law or court order; (iii) to any person to whom disclosure is necessary to enable us to enforce our rights under this privacy policy or under the terms of use; and (iv) to any group company or prospective buyer of all or substantially all of ANOMILY MOTION PICTURES Music Group Limited’s assets in connection with the sale or transfer of those assets to any prospective buyer. This may include the transfer of your personal data to one or more countries outside the U.K. By using the website you consent to third parties having access to your personal data, including those outside the European Economic Area (EEA). You understand and accept that if your personal data is disclosed to third parties outside the EEA those parties may be based in territories that may not have data protection provisions in law. We will attempt to ensure that your data is held safely.

  30. The servers used to process your personal data collected from this website are in the UK, however we collect data from wherever users are situated. The information that we collect may therefore be transferred to the UK from any other country in which you may be located and will be subject to UK data protection laws rather than the laws of the country in which you are resident.

  31. Cookie Policy

  32. We use ‘cookies’ (including but not limited to Google Analytics) on your Portal to ensure that we give you the best user experience and to help us to continue to develop the functionality of your Portal. We also may use cookies on this Portal to simplify the logging on process, to help ensure the security and authenticity of registered users and to enable traffic monitoring.

  33. "Cookies" are small pieces of information sent by a web server to a web browser, which enables the server to collect information from the browser. You can find out more about cookies on http://www.allaboutcookies.org/.

  34. If you continue to use your Portal, we'll assume that you are happy to receive all cookies on your Portal and by using the Portal you give your consent to the use of these cookies. If you choose to block cookies, this may impair or prevent due functioning of the Portal.

  35. Where your Portal includes content embedded from external websites, including social media sites, you may be presented with cookies when visiting pages of such external sites. ANOMILY MOTION PICTURES has no control over these cookies and we suggest that you check the information available on the relevant external websites if you wish to learn more.
